CONSTITUTION
ARTICLE
I – NAME
The
organization shall be known as PET PALS FOR LIFE, hereinafter also
designated as SFPFL.
ARTICLE
11 – PURPOSE
The
purpose for which the SFPFL is organized and operated is exclusively
to work with shelters, humane societies and the general public in
the housing, fostering, advertising and adoption of animals
(primarily dogs and cats) surrendered or strayed to societies and
shelters.
Such stated purpose thereof is:
A.
To design and place advertisements that will benefit in the
placement of pets.
B.
To seek fostering and housing for displaced pets in need
until homes can be found.
C.
To ensure that pets are placed in stable, satisfactory homes.
D.
To enlist public support through donations, memberships and
fund raising for the care and needs of pets.
E.
To work towards the goal of establishing a foster shelter
and/or homes to humanely house and care for pets until adoptions are
made.
In
furtherance thereof, the SFPFL may hold events and meetings to
accomplish stated purpose; publish newsletters and other pertinent
written materials; seek and accept grants, gifts and contracts for
any of the said foregoing purposes and:
Exclusively
for the public benefit, use, publish and otherwise make available
the results of its collection of information from the foregoing
activities.
The
SFPFL may conduct any and all other activities in accordance with
its bylaws that are designed to accomplish the foregoing purposes.
ARTICLE
III – AFFILIATION/RELATIONSHIP WITH OTHER SHELTERS/SOCIETIES
PET
PALS FOR LIFE will actively work with other organizations to assist
in the total information and placement of pets; including the ASCAP,
South Dakota Humane Societies, Animal Welfare League, Pet Finders,
National Humane Society, Rescue/ Service Training Centers for
purebred and mixed breed pets.
ARTICLE
IV – GOVERNMENT
The
SFPFL shall be the legal representative of the association and as
such shall have, hold, and administer all the funds, affairs and
property of the association.
The SFPFL is authorized to receive by devise, bequest,
donation, or otherwise, either real or personal property, and to
hold the same absolutely or in trust, and to invest, reinvest, and
manage the same and to apply said property and
income to
the association.
ARTICLE
V – MEMBERSHIP
Membership
in SFPFL shall be divided into classifications for annual membership
dues.
The conditions, terms, privileges, rights, and duties of
membership shall be stated in the Bylaws of SFPFL.
ARTICLE
VI – DISPOSITION OF ASSETS
In
the event of dissolution or termination of the SFPFL, the Executive
Board shall, after payment of all liabilities, dispose of all assets
of the association exclusively for the objectives of charitable
purposes as shall at the time qualify as an exempt organization
under Section 501©3.
BYLAWS
ARTICLE
I - DEFINITION
The
following words as used in these BYLAWS shall have the meanings set
forth in this Article:

Board
of Directors shall mean the entire governing Board of Directors
of the SFPFL.
-
Executive
Board shall mean the board members authorized to act on behalf
of the board in handling the interim affairs of the association.
-
Affiliated
Organization Advisors shall mean a related organization
designated to act as advisors to the SFPFL directors.
ARTICLE
11 - ACTIVE MEMBERSHIP
Membership
shall be open to the general public.
Each active member shall have the right to vote and hold
office.
Levels of membership are:
-
Introductory
Membership:
Introductory membership includes individuals in their
first year as a member of SFPFL.
Each introductory member shall have the same privileges
as active members except the right to hold elective office.

Renewed
Membership: Same
privileges as Introductory Membership with the right to hold
elective office.
-
Associate
Membership:
Associate membership includes individuals interested in
supporting the advancement of pet related activities but who are
not actively involved in the routine of the association’s
pet-related activities.
-
Patron
Membership:
Patron membership shall be open to any firm, institution
or person desiring to support the activities of SFPFL.
A patron membership shall have the same privileges as
active members except the right to vote and to hold elective
office.

Angel
Membership:
A contribution of $1000+ donated to the association to
sponsor a particular pet or activity of the association.
-
Will
Declaration:
An individual or family who wishes to include Pet Pals
For Life in its will.
ARTICLE
III – MEMBERSHIP DUES AND FEES
The
SFPFL Executive Board shall set the amount of annual dues for each
membership category.
Changes in the amount of dues for membership may not be
enacted more frequently than once a year.
Membership dues are payable annually to the SFPFL treasurer.
ARTICLE
IV – AFFILIATED ORGANIZATION ADVISORS
For
purposes of information and coordination of pet related activities
nationwide, an Affiliated Organization Advisory Committee shall be
established to act as an advisory board to the SFPFL Board of
Directors.
These activities will include:

Communicating
regularly with local and national shelters and societies
regarding humane treatment and enactment of laws relating to pet
needs i.e. ASCAP, PetFinders, Rescue Groups, National Humane
Society and other such related associations.

Enlisting
and working with recognized national leaders to apply for grants
available to assist in spay/neuter programs, pet placements and
other humane pet needs.
-
Investigating
the need and support for a foster care center to care for
abandoned and strayed pets until proper homes can be found.
ARTICLE
V – BOARD OF DIRECTORS
The
authority for the management, policies and actions of the SFPFL
shall be vested in the Board of Directors.
The Board of Directors shall consist of the following elected
and appointed members:

The
President and Past President shall progress automatically to the
position.
The President Elect shall be an elected position.
The President shall appoint the remaining Board of Directors
members.
A member of the Board of Directors may hold two positions.
Additional
Board of Director members may be required.
In this event, such members will be elected or appointed
after notification by the President.
Each
member of the Board of Directors may have one vote during regular
meetings.
The President will abstain from voting except when required
as a tie-breaking vote
When
the Board is not in session, power to act on all matters necessary
for the administration of SFPFL shall be vested in the SFPFL
Executive Committee and be subject to review and approval at the
next Executive Board meeting.
The Executive Committee shall be comprised of:
President, Past President and President Elect.
Regular
meetings of the SFPFL Board of Directors shall be held 6 times a
year.
The President may call special meetings of the Board at any
time.
ARTICLE
VI – EXECUTIVE BOARD
The
SFPFL Executive Board shall be composed of the President, the
immediate Past President, the President Elect, the Secretary and the
Treasurer.
The
Executive Board is authorized to act prudently on behalf of the
association in its interim affairs, subject to review and approval
of the Board of Directors at its next meeting.
The President shall call meetings of the Executive Board as
required.
A quorum for a meeting of the Executive Board shall be a
majority of the Committee.
ARTICLE
VII – OFFICERS
-
The
Officers of SFPFL shall be the President, the immediate Past
President, the President Elect, the Secretary, and the
Treasurer.
The term of each office shall be 12 months, commencing on
January 1 and shall cease at midnight on December 31 of the same
year.
-
In
the event an incumbent resigns his/her office, the term shall
cease on the day of resignation.
In the event the Board removes an incumbent, his/her
term shall cease immediately along with all privileges and
responsibilities.
-
No
elected officer shall serve more than two consecutive terms in
the same office unless recommended and approved by the Board of
Directors.
-
Election
Procedures:
-
Elections
for all offices shall be by a plurality of votes cast.
Mail ballots shall be submitted to the total membership
by November 1.
Ballots need to be received by the Secretary for tally
no later than December 1st.
-
In
the event of a vacancy in the office of President, the
President-elect shall assume the office of President.
-
In
the event of a vacancy in the office of President-elect, a
special membership election shall be held within 90 days.
-
In
the event of any other Board of Directors vacancy, the
President shall appoint a replacement for the remainder of the
term.
ARTICLE
VIII – DUTIES OF OFFICERS
-
PRESIDENT:
Chief Executive Officer presiding at all annual and
special meetings of the Membership, Board of Directors and
Executive Board.
The President shall interpret the policies consistent
with the intent of these By Laws and establish goals to be
reached during his/her term of office.
-
All
policies formulated by the officers or committees shall be
subject to the President’s approval.
-
Within
30 days after assuming office, the President shall appoint a
Chairperson of all committees.
-
Specific
duties include:
a.
Serving as a unifying force for various functions of the
association
b.
Directing and presiding over for all meetings
c.
Assisting in planning all activities and fund raising events
for the association
d.
Appointing chairpersons and delegating certain
responsibilities which may or may not be stated in the Constitution
e.
Working with national societies, shelters and organizations
responsible for the humane care and treatment of abandoned pets
(primarily dogs and cats) i.e. ASCAP, AVMA, NACA and the HSUS
-
PRESIDENT-ELECT:
l.
The President-elect shall perform all the duties of the
President during the President’s absence.
2.
Assists the President with all Association activities
3.
Assumes specific responsibilities delegated by the President

TREASURER:
-
The
Treasurer shall keep or cause to be kept complete financial
records of SFPFL in accordance with SFPFL financial procedure.
-
All
disbursements made by the Treasurer shall be reported to the
President.
-
The
Treasurer shall report on the financial condition of SFPFL at
each meeting of the Board.
-
The
Treasurer shall ensure that the SFPFL accounts are audited
bi-annually by a Certified Public Accountant.
-
SECRETARY:
-
The
Secretary shall keep minutes at all meetings.
If unable to attend a meeting, the Secretary shall ask
another board member to keep minutes.
-
The
Secretary shall be responsible for preparing and mailing out
minutes of the meeting to the full membership.
